    Textures: GIMP
Vertex: Anim8or for small/minor edits, 3DS Max for larger scale edits.

If you don't have 3DSMax, and don't feeling buying it....or *cough* torrenting it *cough*, you can also use Blender which is free.

The GIMP is a reliable program for texture editing.  However, you might need the assistance of Adobe Photoshop CS3 or CS4 when dealing with textures that have multiple transparent colors.

    Textures: Photoshop
Vertex: 3ds Max (WITH .DAE IMPORTS)
If your not going to import with COLLADA Max for Dae. imports there is no point to vertexing. (helping you out)
